RESTATED ARTICLES OF INCORPORATION:
The Restated Articles of Incorporation correctly set forth without change the provisions of the articles of
incorporation as amended and these restated articles of incorporation supersede the original articles of
incorporation and all amendments thereto.

Restated Articles of Incorporation
Article I – Name and Incorporation
Section 1. The name of this organization shall be Wenatchee Area Genealogical Society.
Section 2. This Society, with offices at its library located in Wenatchee, Washington, was incorporated
in Washington State on March 19, 1976 (File No. 254822). It is registered with the Department of the
Treasury as of April 25, 1980, with the Employer Identification Number of 91-1095590, a tax exemption
number under section 501(c)(3) of the Internal Revenue Code and an organizational description code
described in section 509(a)(2). The Society's original Bylaws were adopted November 22, 1971.
Article II – Objectives
The objectives, purposes and aims of the Society shall be:
1. To acquire and share genealogical information.
2. To create, stimulate and maintain interest in all matters pertaining to genealogical knowledge.
3. To preserve and perpetuate the records of ancestors.
4. To compile, prepare, preserve and index genealogical records of local interest and of interest to the members of the Society.
5. To aid individual members of the Society in the compilation of their family genealogies and histories.
6. To hold regular meetings for the dissemination of information to assist the members in their individual or collective genealogical activities.
7. To publish such information as deemed advisable by the Society.
Article III – Policies
Section 1. This Society shall be nonprofit, nonpolitical and nonsectarian.
Section 2. This Society may affiliate with any state, regional or national genealogical society, club or association as deemed desirable by the members of the Society.
Article IV – Membership and Dues
Section 1. Membership in the Society shall be determined by an interest in genealogy, biography, and/or local history, and payment of dues as provided for in the Bylaws of this Society.
Section 2. The assessment of annual dues shall be established in the Bylaws of the Society.
Article V – Meetings
Section 1. The Society shall hold meetings as provided for in the Bylaws of the Society.
Article VI – Officers and Their Duties
Section 1. This Society shall be governed by the elected Board of Directors. The elected officers of this Board shall be President, Vice-President, Recording Secretary, Corresponding Secretary, Treasurer, Library Chair, and Members at-Large as provided for in the Bylaws.
The duties of this Board of Directors are described in the Society's Bylaws.
Article VII – Fiscal Year
The fiscal year shall be from January 1 through December 31 of each year.
Article VIII – Committees
The Board shall establish committees as necessary.
Article IX – Amendments
Any member may submit a proposed amendment, in writing, to the Board of Directors, as provided for
in the Bylaws.
Article X – Dissolution
This Society may dissolve and close out its affairs by a proposed amendment in writing to the Society's
Board of Directors, or in any other manner provided by law. All members shall be notified one month
prior to voting on dissolution. The assets of the Society, if it is in the process of dissolution, shall be
applied and distributed after the payment of all liabilities and obligations, as provided by law, to
associations or organizations as may be designated.
[At a regularly scheduled meeting on January 13, 2020, a quorum of of the memebers of the Wenatchee Area Genealogical Society approved a motion to revise the Articles of Incorporation as presented, thereby replacing and amending the Articles in their entirety.]
